    Royal Diner Club – Terms & Conditions

    Welcome to Royal Diner Club’s Terms & Conditions. Our club is an online membership platform that offers members special dining offers, access to partner restaurants, and related benefits (“Services”). Because these Terms & Conditions contain legally binding obligations, please read them carefully.

    Definitions

    In these Terms, the following meanings apply:

  1. “Membership” means your registration and ongoing subscription (if any) to the Royal Diner Club services.
  2. “Member”, “you” or “your” means the person who has registered for membership in the Club, accepted these Terms, and uses the Services.
  3. “Club, “we”, “us” or “our” means Royal Diner Club.
  4. “**Partner Restaurant”” means a dining venue that has agreed to participate in the Club’s offers and promotions.
  5. “**Offer”” means a specific dining deal, discount or benefit provided through your membership at a Partner Restaurant or via the Club platform.
  6. “**Eligible Payment Method”” means the method you provide (e.g., credit/debit card) when you register or when required to pay for an offer.
  7. “**Digital Wallet”” means Apple Pay, Google Pay, Samsung Pay or any other mobile wallet wherein the Club issues or links a payment card or token for redemption of certain offers.
  8. Membership & Use of Services

    By registering as a Member you confirm that you are at least 18 years of age (or the legal age in your jurisdiction) and capable of entering into these Terms.

    You must provide accurate, up-to-date registration information and maintain the confidentiality of your account login details.

    Membership may require you to maintain a valid Eligible Payment Method.

    We reserve the right to accept or decline applications for membership at our discretion.

    Offers and Dining Rules

    Offers vary by Partner Restaurant. Each Offer will include — but are not limited to — the discount percentage, eligible timeslots, minimum spend, whether drinks count, number of guests, etc.

    When using an Offer at a Partner Restaurant, you must comply with the applicable rules, which may include:

    • no prior booking (walk-in only) unless stated otherwise;
    • you may not notify the restaurant that you are redeeming a Club Offer (if a “discreet” redemption model is used);
    • you cannot combine the Offer with other promotions, discounted menus, happy-hour specials or third-party vouchers;
    • you must not exceed the maximum number of guests stated in the Offer;
    • you must treat staff and restaurant premises with respect.

    Failure to comply with dining rules may result in cancellation of the Offer or termination of membership.

    Payment, Cards & Redemptions

    If the Club issues a payment card (physical or digital) or links a token to your Digital Wallet (a “Membership Card”), you agree to the applicable terms of use.
    You may only use your Club-issued membership for valid Offers and through the Partner Restaurants approved by the Club.
    You are responsible for all activity via your account or Membership Card, unless we determine you are not at fault.
    Offers are only valid while indicated and may expire or be withdrawn.
    Refunds, cancellations or credits are subject to the policy specified in the relevant Offer or by the Partner Restaurant; Club may also impose its own refund or exchange policy.

    Changes, Cancellations & No-Shows

    Partner Restaurants or the Club may change or cancel an Offer at any time (e.g., due to restaurant closing, kitchen unavailability or other operational reasons).
    If you fail to arrive within the specified time, exceed the guest limit or otherwise breach the terms of the Offer, the Offer may be voided and you may be liable for the full applicable bill.
    In cases of dispute, the Club’s decision will be final.

    Fees, Charges & Payment Terms

    Membership fees (if any) and payment for valid Offers must be paid via the Eligible Payment Method specified.
    Additional charges (such as tip, extra menu items not included in the Offer, drinks excluded, etc.) are your responsibility.
    We may charge interest on overdue amounts at a rate permitted by applicable law.

    Intellectual Property & Marketing

    All intellectual property rights in the Club’s service, website, app, branding, logos, offers and content are owned or licensed by Royal Diner Club.
    You grant us a non-exclusive, royalty-free licence to use anonymised aggregate data about your usage, for marketing or analytics (without identifying you personally).
    You may not use our trademarks, logos or content in any manner without written permission. by applicable law.

    Privacy & Data Protection

    We will use personal information you provide in accordance with our Privacy Policy [link].
    By becoming a Member you consent to the collection, use and disclosure of your personal data as set out in that policy.
    You must keep your credentials, login, payment method and account secure. You must notify us promptly if you suspect any unauthorised use.

    Warranties, Limitation of Liability & Indemnity

    We offer the Services “as is” and disclaim all implied warranties to the extent permitted by law.
    We and our Partner Restaurants shall not be liable for indirect, incidental, special or consequential loss or loss of profit, business interruption or data, except for personal injury or death caused by our negligence or any liability which cannot be excluded by law. Our total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you to the Club in the preceding 12-month period (or zero dollar if you have paid no fees).
    You indemnify us against all liabilities, costs, damages, losses and expenses arising from your breach of these Terms or your negligent use of the Services.

    Term, Termination & Suspension

    These Terms commence when you accept them (e.g., by using our services in any way) and will continue until terminated.
    We may suspend or terminate your membership at any time if you breach these Terms, misuse the Services, or if required by law or order.
    You may cancel your membership at any time by giving notice via the Club’s designated channel. Payment obligations incurred prior to termination remain payable.
    On termination, all outstanding fees become immediately due and you must cease using the Services.
    Clauses that by their nature survive termination will continue (e.g., indemnities, limitations of liability, intellectual property, etc.).

    Governing Law & Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of Ontario and Canada.
    Any dispute arising under or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Ontario.

    Changes to Terms

    We may amend these Terms at any time. When we do so, we will notify you by email or via the app/website and publish the revised Terms with a new “Last updated” date. Continued use of the Services after such notification constitutes your acceptance of the amended Terms. If you do not agree with the changes, you must stop using the Services and may cancel your membership.

    General

    If any part of these Terms is found invalid or unenforceable, that part shall be deemed removed, and the remainder of the Terms shall remain in full force and effect.
    Our failure or delay in enforcing any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
    These Terms, together with any membership agreement, Offer details and our Privacy Policy, constitute the entire agreement between you and the Club regarding the subject matter hereof and supersede all prior proposals or communications.
